By accessing or using the HiLo Finance mobile application ("App", "Platform", or "Service"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.
These Terms constitute a legally binding agreement between you and HiLo Finance, Inc. ("HiLo", "we", "us", or "our"), a California corporation with its principal place of business in California, United States.
HiLo Finance is a social trading platform that connects retail investors and traders ("Subscribers") with experienced trading mentors ("Mentors") who provide educational content, market analysis, and trading insights.
The Platform facilitates: Real-time chat and messaging via GetStream, stock and cryptocurrency market data via Twelve Data, subscription payments via Stripe, trade alerts and educational content, portfolio tracking and performance metrics, and brokerage account connectivity and Mentor trade verification via SnapTrade (operated by Passiv Inc.).

Before making any investment decisions, you should: conduct your own independent research and due diligence, consult with a licensed financial advisor, tax professional, or attorney, consider your individual financial situation, risk tolerance, and investment objectives, and understand that all investments carry risk, including the potential loss of principal.
To use the Platform, you must be at least 18 years of age, have the legal capacity to enter into binding contracts, not be prohibited from using the Service under U.S. or local laws, reside in a jurisdiction where the Service is legally available, and provide accurate, current, and complete registration information.
Prohibited Users: You may NOT use the Platform if you are a resident of a country subject to U.S. embargo, listed on any U.S. government prohibited or restricted party list, a competitor seeking to gather competitive intelligence, or using the Platform for any illegal, fraudulent, or unauthorized purpose.
You must create an account to access Platform features. You agree to provide accurate and truthful information during registration, maintain the security and confidentiality of your account credentials, and notify us immediately of any unauthorized access or security breach.
We use phone-based authentication via SMS (Twilio Verify). By registering, you consent to receive SMS messages for authentication purposes and confirm that the phone number provided belongs to you.
We reserve the right to suspend or terminate your account at any time, without notice, for violation of these Terms, fraudulent or illegal activity, providing false or misleading information, or inactivity for more than 12 consecutive months.
Mentors are independent contractors, not employees of HiLo Finance. HiLo does NOT verify Mentor trading performance or credentials, endorse any Mentor's strategies or recommendations, guarantee the accuracy or suitability of Mentor content, or assume liability for Mentor actions or advice.
By subscribing to a Mentor, you acknowledge that Mentor content is educational and does not constitute personalized advice, you bear full responsibility for your own trading and investment decisions, and subscription fees are non-refundable.
You agree NOT to violate any applicable local, state, federal, or international laws or regulations; infringe upon intellectual property, privacy, or other third-party rights; engage in insider trading, market manipulation, or securities fraud; hack, reverse engineer, or use bots to extract data; post spam, malware, or offensive content; harass, threaten, or impersonate other users; engage in pump-and-dump schemes or solicit funds outside the Platform; or use the Platform to promote or sell unregistered investment products.
Subscriptions renew automatically until canceled. By subscribing, you authorize HiLo to charge your payment method for the subscription fee and any applicable taxes. If a payment fails, we may suspend your access until payment is resolved.
ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE. No refunds or credits for partial subscription periods, cancellations mid-billing cycle, or account terminations for Terms violations. Refunds may be issued at our sole discretion for technical errors resulting in duplicate charges, fraudulent transactions not authorized by you, or Platform unavailability for extended periods (more than 7 consecutive days).
You may cancel your subscription at any time through the App. Cancellation is effective at the end of the current billing period.

By using the Platform, you agree to be bound by these third parties' terms and privacy policies. We are not responsible for third-party service outages, data breaches, or policy changes.
All content, features, and functionality of the Platform are owned by HiLo Finance and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App for personal, non-commercial purposes. You may NOT copy, reproduce, distribute, or create derivative works from Platform content, or sell, sublicense, or commercially exploit Platform content.
By posting content on the Platform, you grant HiLo a worldwide, royalty-free, perpetual license to use, reproduce, modify, and display your content within the Platform and to sublicense it to third-party service providers. You retain ownership of your content.
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TRADING AND INVESTING INVOLVE SUBSTANTIAL RISK OF LOSS. YOU MAY LOSE SOME OR ALL OF YOUR INVESTED CAPITAL. LEVERAGE AND MARGIN TRADING CAN AMPLIFY LOSSES.
TO THE FULLEST EXTENT PERMITTED BY LAW, HILO FINANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING TRADING LOSSES OR INVESTMENT UNDERPERFORMANCE. MAXIMUM LIABILITY SHALL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT YOU PAID TO HILO IN THE 12 MONTHS PRECEDING THE CLAIM.
We are not responsible for actions or omissions by Mentors or other users; third-party service outages or data breaches (GetStream, Twelve Data, Stripe, Twilio, SnapTrade); market data inaccuracies or delays; brokerage data inaccuracies or outages transmitted via the SnapTrade API; losses resulting from unauthorized account access if you failed to secure your credentials; or actions taken by SnapTrade (Passiv Inc.) or connected brokerages independent of HiLo's instructions.
You agree to indemnify, defend, and hold harmless HiLo Finance and its affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use or misuse of the Platform, your violation of these Terms, your violation of any laws or third-party rights, content you post on the Platform, or trading or investment decisions you make based on Platform content.
These Terms are governed by the laws of the State of California. YOU AND HILO AGREE TO RESOLVE DISPUTES THROUGH BINDING ARBITRATION via JAMS (Judicial Arbitration and Mediation Services) in San Francisco, California. YOU AGREE TO BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY, NOT AS A CLASS MEMBER OR REPRESENTATIVE. THERE WILL BE NO CLASS ARBITRATIONS OR CLASS ACTIONS.
You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing [email protected] with your name, username, and the statement "I opt out of the arbitration agreement."
Your use of the Platform is subject to our Privacy Policy, incorporated into these Terms by reference. We collect personal information (phone number, name, email, profile data) and share data with third-party service providers (GetStream, Stripe, Twelve Data, Twilio, SnapTrade). For Mentors who link a brokerage account, trade execution data is received from SnapTrade and stored for trade verification purposes. We do NOT sell your personal data to third parties.
California Residents: You have additional rights under the California Consumer Privacy Act (CCPA). See our Privacy Policy for details.
We reserve the right to modify these Terms at any time. Minor changes are effective immediately upon posting; material changes take effect 30 days after notice via email or in-app notification. By continuing to use the Platform after changes take effect, you accept the modified Terms.
You may terminate your account at any time by deleting the App or emailing [email protected]. Your data will be deleted within 30 days, except as required for legal or regulatory compliance. We may terminate or suspend your account immediately, without notice, for violation of these Terms, illegal or fraudulent activity, or any reason at our sole discretion. Fees are non-refundable upon termination.
These Terms, along with the Privacy Policy and any additional agreements you've accepted, constitute the entire agreement between you and HiLo Finance. If any provision is found invalid, the remaining provisions remain in full effect. You may not assign or transfer these Terms without our prior written consent. We are not liable for delays or failures resulting from circumstances beyond our reasonable control.
